Company: HOCHANDA Global Limited T/A Create and Craft (Registered company number 12063361). These terms and conditions (which include other important hyper-linked sections such as Delivery, Cancellation and Returns and Privacy Policy) apply to any purchase of products through the Create and Craft website, over the telephone or through the interactive voice response service and our mobile applications (`Services`). By accessing this website and/or placing an order, you agree to be bound by these terms and conditions.


GENERAL TERMS AND CONDITIONS

1. GENERAL

1.1 We may revise these terms and conditions at any time. Any such changes will take effect when posted on the website and it is your responsibility to read the terms and conditions on each occasion you use this website and your continued use of the website shall signify your acceptance to be bound by the latest terms and conditions. 1.2 You will be able to access most areas of this website without registering your details with us. Certain areas of this website are only open to you if you register.

2. ORDERING FROM US

2.1 You are deemed to place an order with us by ordering via our online checkout process. As part of our checkout process you will be given the opportunity to check your order and to correct any errors. We will send you an order acknowledgement via email, detailing the products you have ordered. Please note that this email is not an order confirmation or order acceptance from us. 2.2 Your order is an offer to us to purchase the product specified in the order. Our acceptance of an order takes place when we accept payment or dispatch the product, whichever is sooner. When we dispatch the product the purchase contract will be made even if your payment has not been processed immediately, unless we have notified you that we do not accept your order or you have cancelled your order. 2.3 We may refuse to accept an order:

Order acceptance is subject to internal anti-fraud security checks which may result in the cancellation and refund of customer orders. 2.4 It is our responsibility to supply you with goods that meet your consumer rights. In the unlikely event there is an issue with your order or payment please contact our Customers Service team within 14 days of your order being shipped. - Damaged or missing items need to be reported within 14 days of the receipt of the order. - Any queries in regards to missing orders need to be informed to Create & Craft (Hochanda Global Limited) within 14 days from the date of dispatch. - Faulty items are to be reported to Hochanda Global Limited within 30 days of receipt of the order. For any queries in regards to the above please contact our Customer Service team who are available 7am-10pm 7 days a week.

3. DELIVERY

For full details on delivery charges and estimated timescales please visit our delivery page. Information on these items will also be provided when you place your order with us.

We make every effort to deliver products within the estimated timescales, however delays are occasionally inevitable due to unforeseen factors. Risk of loss and damage to goods passes to you on the date when the goods are delivered."

4. PAYMENT

4.1 You can pay for your purchases online using most major credit or debit cards, including Mastercard, Visa Credit Card, Visa Debit Card, Visa Electron, Solo, Maestro and American Express. You can also make payment using PayPal. 4.2 To ensure that your credit or debit card account is not being used without your consent, we will validate the name, address and other personal information supplied by you during the order process against appropriate third party databases. By accepting these terms and conditions you consent to such checks being made. We confirm that any personal information that you provide to us is held strictly in accordance with the Data Protection Act 1998. 4.4 We will take reasonable care to keep your order and payment details secure, but in the absence of negligence on our part we cannot be held liable for any loss you may suffer if a third party procures unauthorised access to any data you provide when accessing or ordering from this website. 4.5 Retention of Title - Notwithstanding delivery and the passing of risk, property in and title to the goods shall remain with Hochanda Global Limited until Hochanda Global Limited has received payment of the full price of (a) all goods and/or services the subject of the sales contract and (b) all other goods and / or services supplied by Hochanda Global Limited to the buyer under any contract whatsoever. Payment of the total full retail price shall include, without limitation, the amount of any interest or other sum payable under the terms of this and all other contracts between Hochanda Global Limited and the buyer.

5. PRICING

5.1 The price you pay is the price displayed through service at the time we receive your order, apart from if we discover an error in the price of products you have ordered, we will inform you as soon as possible and give you the option of confirming your order at the correct price, or cancelling it. If you cancel and you have already paid for the products, you will receive a full refund. If we are unable to contact you we will treat the order as cancelled. While we try and ensure prices are accurate, our services contain a large number of products and it is always possible that, despite our reasonable efforts, some of the products on our website may be incorrectly priced. 5.2 Where we charge separately for packing, carriage and insurance and other relevant charges, the appropriate rates are set out in our specified pricing structure found within our delivery section. 5.3 All product prices are shown in £ Sterling and are inclusive of VAT (Value Added Tax) at the current applicable rate, unless specified otherwise. 5.4 Orders from outside the UK or EU may be subject to import duties and taxes. All applicable duties, fees and any additional charges for customs clearance levied by the importing country at the time the shipment arrives in your country are your sole responsibility.

6. CANCELLATION AND RETURNS POLICY

For information about cancellation and returns, please refer to cancellation and returns. If you take advantage of any multibuy offer or discount, you will be refunded according to the discount that was applied to the offer. In the unlikely event that you receive faulty or damaged goods, please contact us at Customer Services as soon as possible. There is more information in Cancellation and Returns regarding returning faulty or damaged items." The following categories are excluded from the 14 day money back guarantee:

7.1 You acknowledge and agree that all copyright, trademarks and other intellectual property rights in the software and all material or content on this Website (including without limitation photographs, graphical images, artwork, data compilations, audio and video material) shall remain vested in us or our licensors. You are permitted to use this material only as expressly authorised by us or our licensors. 7.2 You acknowledge and agree that the material and content contained within our services is made available for your personal non-commercial use only and that you may only download and print such material and content for the purpose of using this website, including making a purchase. You further acknowledge that any other use of the material and content of this website is strictly prohibited and you agree not to (and agree not to assist or facilitate any third party to) copy, reproduce, transmit, publish, display, distribute, commercially exploit or create derivative works of such material and content. 7.3 Any rights not expressly granted in these terms are reserved.

8. AVAILABILITY OF SERVICES

8.1 While we try to ensure that the Services are available at all times, we will not be liable if for any reason they are unavailable at any time or for any period. 8.2 Access to the services may be suspended temporarily and without notice in the case of system failure, maintenance or repair, for the introduction of new facilities or for reasons beyond our control.

9. VISITOR MATERIAL AND CONDUCT

9.1 Other than personally identifiable information, which is covered under our Privacy Policy, any material you transmit or post to our services will be considered non-confidential and non-proprietary. We will have no obligations with respect to such material. We will be free to copy, disclose, distribute, incorporate and otherwise use such material and all data, images, sounds, text and other things embodied therein for any and all commercial or non-commercial purposes. 9.2 You are not allowed to (including aiding a third party to) interfere with our systems, restrict or inhibit the use or enjoyment of the services for anyone else, nor are you allowed to use them for any activities that breach any laws, standards, content requirements or codes published by any relevant authority or circulate any material that is of a threatening, harmful, vulgar, abusive, obscene, unlawful, harassing or libellous nature.

10. LINKS TO OTHER SERVICES

10.1 To provide increased value and for the convenience of our customers we may provide links to other websites or resources for you to access at your sole discretion and risk. You acknowledge and agree that , as you have chosen to enter the linked website, we are not responsible for the availability of such external resources or sites, and do not review or endorse and are not responsible or liable in any way, whether directly or indirectly, for (i) the privacy practices of such websites; or (ii) the content of such services, including (without limitation) any advertising, content, products, goods or other materials or services on or available from such websites or resources ; or (iii) the use which others make of these websites; or (iv) for any damage, loss or offence caused or alleged to be caused to you, arising from or in connection with the use of or reliance on any such advertising, content, products, goods, materials or services available on and/or purchased by you from such external websites or resources.

11. REGISTRATION, PASSWORDS AND SECURITY

11.1 To register with Create and Craft (Hochanda Global Limited) you must be aged 18 or over. 11.2 You must ensure that the details provided by you on registration or at any time are true, accurate, current and complete. You can update your registration at any time at the Customer Account section of our website. 11.3 When you register to use our services you will be asked to create a password. You must keep this password and your user name confidential and not disclose these or share them with anyone. Each registration is for a single user only. 11.4 You are responsible for the security of your password and you will be responsible for all activities and orders that occur or are submitted under your password. If you know or suspect that someone else knows your password, you should contact us immediately. 11.5 We may ask you to change your password, suspend or cancel your registration immediately at our reasonable discretion if we believe that there is likely to be a breach of security or misuse of the website, or if you breach any of your obligations under these terms and conditions. 11.6 If you are registering as a customer over the telephone you need to supply us with a valid telephone number so that we can register you as a customer. Unless you allow it, no outbound marketing calls will be made to this telephone number.

12. LIABILITY

12.1 While we will use reasonable endeavours to ensure that the information on our services are correct, we do not warrant the accuracy and completeness of the material on the services. We may make changes to the material on the services, or to the products and prices described in it, at any time without notice. The material on the services may be out of date, and we make no commitment to update such material. 12.2 The Services are provided on an "as is" or "as available" basis without any representation or endorsement made and we make no warranties of any kind, whether express or implied, in relation to the Services, or any transaction that may be conducted on or through the website including, but not limited to, implied warranties of non-infringement, compatibility, security, accuracy, conditions of completeness, or any implied warranty arising from course of dealing or usage or trade. In particular, we will not be responsible for ensuring that the goods you order are suitable for your purposes. This does not affect your legal rights as a consumer, nor does it affect your contract cancellation rights. 12.4 Subject to clause 12.6 below, our liability to you (whether in tort, contract or otherwise) will be limited to the purchase price paid by you for the products plus any postage and packaging costs. 12.5 Except to the extent set out in these terms, we will not be liable in contract, tort (including, without limitation, negligence), pre-contract or other representations (other than fraudulent or negligent misrepresentations) or otherwise out of or in connection with the terms and conditions for any:

12.6 Nothing in these terms and conditions shall exclude or limit our liability for death or personal injury arising from our negligence, fraud, fraudulent misrepresentation or any other liability which cannot be excluded or limited under applicable law. 12.7 If your use of material on the Services results in the need for servicing, repair or correction of equipment, software or data, you assume all costs thereof.

13. INDEMNITY

13.1 You agree to indemnify us fully, defend and hold us, and our officers, directors, employees and agents, harmless from and against all claims, liability, damages, losses, costs (including reasonable legal fees) arising out of any breach of the terms and conditions by you, or your use of the Services, or the use by any other person using your registration details.

14. APPLICABLE LAW AND JURISDICTION

These terms and conditions shall be governed by and construed in accordance with English law. We both agree to submit to the non-exclusive jurisdiction of the English courts for all purposes in connection with these terms and conditions including our privacy policy.

15. MISCELLANEOUS PROVISIONS

15.1 You may not assign, sub-license or otherwise transfer any of your rights under these terms and conditions. 15.2 If any provision of these terms and conditions is found by any court of competent jurisdiction to be invalid, the invalidity of that provision will not affect the validity of the remaining provisions which shall continue to have full force and effect. 15.3 Only the parties to these terms and conditions may seek to enforce them under the Contracts (Rights of Third Parties) Act 1999. 15.4 If you breach these terms and conditions and we take no action, we will still be entitled to use our rights and remedies at a later date or in any other situation in which you breach these terms and conditions. 15.5 These terms and conditions and the policies referred to in them and your order form are the only terms which apply to your use of the services and the purchase of products from us via the Services. You acknowledge that you have not entered into this arrangement in reliance on any other statement, warranty or representation made by us or on our behalf. 15.6 Any reviews on products posted on www.createandcraft.com are the expression of opinions by individuals and do not represent our views.

CLUB TERMS & CONDITIONS

These Terms and Conditions of Membership ("Terms") are applicable to your membership of the Create and Craft Club ("the Club") and your purchase of craft products through the Create and Craft website, www.createandcraft.com or over the telephone.

Your membership is with Create and Craft Club. The annual membership fee is £20 as at the date below. Create and Craft reserve the right to adjust this membership fee at any time.

Your Club membership entitles you to:

• Up to 10% discount on each individual item on orders placed through Create and Craft. Please note, however, that you cannot use your discount against postage and packaging costs. Hochanda, trading as Create and Craft, reserve the right to remove Club discount from any product or promotion at any time.

• £10 discount voucher will be emailed to you when joining or renewing Club membership. This voucher is valid for 90 days from the date of issue. You can redeem your voucher on a minimum spend of £30 excluding P&P costs, at www.createandcraft.com. £30 minimum spend applies to your first Flexi Payment.

• Quarterly craft magazines. New members will receive the next printed edition of the magazine once it has been published. The current issue and previous issues will be available to view online in the members area once you become a member.

• Take advantage of exclusive club gifts and free downloads and projects. Club gifts are limited to one gift per member. Please note that, while the gift product is free to club members, the standard postage and packaging charges will still apply.

• Exclusive prize draws, competitions and special offers, and access to members only events.

Please note that:

• Your club membership will automatically renew after 12 months unless you tell us that you do not wish for this to happen.

• Membership is only available to customers over the age of 18.

• If you make any purchase using your 10% discount you will not be entitled to cancel your membership and receive any refund for your Club membership fee (notwithstanding your right to cancel).

• The information that you provide about yourself to the Club will only be used in accordance with Hochanda’s Privacy Policy.

Renewals

• We aim to notify you at least 21 days in advance of any change to the membership fee. Whilst we reserve the right to change the membership fee at any time, you will not be charged any revised membership fee until your membership is due for renewal.

• Your membership will automatically renew 12 months after your initial purchase unless you tell us that you do not wish for this to happen. You do not need to notify us if you wish to renew your membership, we will renew your membership automatically on each anniversary of the date you joined the Club and will deduct the current annual membership fee from the credit or debit card registered to your account.

• Please note that if you make any purchase using your 10% discount, at any time during this 14 day cancellation period, you will not be entitled to cancel your renewed membership (and obtain a refund of the membership fee).

• Upon expiry, cancellation or termination of your membership, access rights to the Members’ Area of www.createandcraft.com. and the contents therein is terminated.

Cancellation

• If you make any purchase using your 10% discount you will not be entitled to cancel your membership and receive any refund for your Club membership fee (notwithstanding your right to cancel).

• You have the right to cancel your annual membership at any time within 14 days of purchase of membership; if you wish to cancel within 14 days you will receive a full refund.

• To exercise this right, you must notify us in writing or by email to the addresses set out below, and you will receive the refund of your membership fee as detailed.

• Please note that if you wish to cancel your membership after 14 days, refund of the annual membership fee cannot be given.

• This right to cancel is in addition to your consumer right to cancel your membership within 14 days of purchase. The cancellation period starts to run from the day after you purchase membership.

• Refunds can only be made to the credit/debit card originally used for purchase of membership.

Diamond Club Members

• The Diamond Club Membership was discontinued as of 24th February 2022.

Crafting Live

• Crafting Live is now managed by Highlight Crafts Ltd, in partnership with Create and Craft.

• You must claim these tickets at least 3 days in advance of the start of the event date.

• You cannot collect these tickets at the door of the Crafting Live event.

• Club Members can order Crafting Live tickets for free via the Create and Craft website or by phone.

• Your Crafting Live tickets will be emailed to the address that your account is linked to.

• Please check your inbox and junk folders for the Crafting Live tickets. These need to be printed and taken with you to the event.

• Create and Craft have the right to withdraw or change this offer at any time. Create and Craft have the right to claim back any tickets that have been purchased outside of the terms above.

General

A person who is not a party to these Terms shall have no right under the Contract (Rights of Third Parties) Act 1999 to enforce any term of these terms and conditions, but this shall not affect any right or remedy of a third party which exists or is available apart from that Act.

By accessing the Create and Craft magazine online and the Members Area on this website, or by otherwise accessing any content found in the magazine or on this website, you are deemed to have accepted and to be bound by the Terms and Conditions which apply to this website www.createandcraft.com. In addition to those Terms and Conditions, the following terms apply:

The copyright and other intellectual property rights in the contents and design of this website and any material e-mailed to you, provided on CD ROM or otherwise supplied or made available to you in conjunction with the Club, including through access to the Members Area, (such contents, design and materials being collectively referred to as the 'Club Content'), is the property of Create and Craft or its licensors. You acknowledge and agree that the Club Content is made available for your personal, non-commercial use only and that you may only display on a computer screen, download and print such material and content for such purpose, and for the purpose of making a purchase through this website. FREEDOM MEMBERSHIP TERMS & CONDITIONS

These Terms and Conditions of Membership ("Terms") are applicable to your membership to Hochanda Freedom and your purchase of craft products through the Create and Craft website, over the telephone or through the interactive voice response service and our mobile applications ("Create and Craft Services"). Create and Craft is delighted that our customers wish to create and sell personal craftwork items which have been produced incorporating our suppliers products, designs and images. Create and Craft does not wish to restrict creativity, but do wish to protect our supplier’s designs and those of third parties. This is to allow them to continue to provide a wide range of interesting and innovative designs without fear of competing with mass produced versions of the same image.

Whilst most suppliers of Hochanda Global Limited will also allow you to sell your personal craftwork, we would always advise checking with the suppliers, product manufacturers or UK distributors of the products before doing so.

Create and Craft (Hochanda Global Limited) will do our best endeavours always make clear during the product demonstrations if there is any reason you will not be able to sell your craftwork.

SewBug is an online fabric and quilt design tool for personal use. It is not permitted for use in a commercial application, if you wish to use this product in this way you will need to contact Craft Yourself Silly Ltd to purchase a commercial licence.

All fabric designs on the sew bug app are the property of Craft Yourself Silly or its freelance designers and remains as such and cannot be reproduced without contacting us for permission.

Although the software requires a licence for commercial use all fabrics purchased through SewBug or Craft Yourself Silly are free issue for commercial use.

If you are uploading images you must ensure that you have the right to copy the image or photograph you submit and that you have, where necessary, obtained permission for it to be reproduced. If you are submitting designs that you have created using stamps, dies or stencils please make sure you have checked the policy on digital reproduction for each company that you have used products from. The following companies are happy for you to use their designs in our products: Daisys Jewels and Crafts, Dali Art, Becky Seddon Designs, Colouricious.

The cutting machine has built-in patterns. Brother Industries, Ltd. ("Brother") or its licensor owns the copyright and any other intellectual property rights of such built-in patterns ("Built-in patterns"). Subject to the terms and conditions as provided below, Brother grants to customer the right to use the Built-in patterns.

Before using the Built-in patterns, the customer must agree to these terms of use. The customer shall be deemed to have accepted these terms of use by using the Built-in patterns made available to the customer.

1. The customer may use and edit the Built-in patterns for the sole purpose of cutting paper, fabric and other materials with using one cutting machine (including drawing the Built-in patterns on such materials with an optional accessory pen).

2. The copyright notice of the Built-in patterns which Brother's licensor owns copyright in is clearly listed on pattern list or documentation bundled with the cutting machine (hereinafter such Built-in patterns are referred to as "Licensor's patterns")

The customer is prohibited from assigning, selling, renting, distributing or otherwise transfering for a profit hand-made craftwork items using the Licensor's patterns (including cut-out patterns made according to section 1 and hand-made craftwork items using such cut-out patterns).

The customer may assign, sell, rent, distribute or otherwise transfer for a profit hand-made craftwork items using the Built-in patterns, excluding Licensor's patterns, including cut-out patterns made according to section 1 and hand-made craftwork items using such cut-out patterns.

3. With respect to all Built-in patterns, the customer hereby agrees:

(1) not to use or edit the Built-in patterns for any purpose other than the purpose as provided in section 1;

(2) not to assign, sell, rent, distribute, sublicense or otherwise transfer the Built-in patterns itself, and

(3) not to decompile, disassemble, reverse engineer or translate the Built-in patterns.

These terms are for the ‘Big 3’ promotional period. This event starts on Friday, the 17th of March from 18:00 (GMT), and ends Monday, 20th of March at 15:00 (GMT).

To be eligible to participate in these promotions, the customer must purchase products via the Create and Craft channel, and via www.createandcraft.com during the hours listed below only. These promotions are open to all customers within the UK who are aged 18 years or over. By participating, you agree to the following terms and conditions.

a. 3 x Flexi-Payment Eligibility

By purchasing at least one (1) product worth at least £15.00 (excluding P&P), customers will see the option to split payments for their basket across three (3) flexi-instalments at the checkout.

Digital and downloadable products, such as Club Membership, are excluded from this promotion. Purchases must be made between the event start of Friday, the 17th of March from 18:00 (GMT), and finish on Monday, 20th of March at 15:00 (GMT).

The initial flexi instalment will be charged at point of placing the order. All future and subsequent instalments will be charged on the monthly anniversary of the order being placed. Subsequent instalments are processed using our automated recurring payment system which uses a secure payment token to complete the transaction. Create and Craft do not store any sensitive payment data as part of the flexi payment offering.

b. £3 Capped Postage

Purchases made during the ‘Big 3’ promotional period will have their standard postage capped to £3.00 per basket at checkout. Digital and downloadable products, such as Club Membership, are excluded from this promotion. Purchases must be made between the event start of Friday, the 17th of March from 18:00 (GMT), and event end on Monday, 20th of March at 15:00 (GMT) to qualify for capped standard postage.

Postage cost reductions will be completed upon check-out automatically within the timeframe given, and as such no promotional codes are required. Orders placed after the end of the event will not qualify for the promotion. Additional costs may be incurred for expediated delivery options upon check-out.

This promotion is non-applicable for international orders and as such, postage will be charged at the standard rate for the region of delivery during the event.

c. 30% Savings on Selected Products

Selected products during the ‘Big 3’ promotional period will have an increased Club Member saving of 30%. Digital and downloadable products, such as Club Membership, are excluded from this promotion. Purchases must be made between the event start of Friday, the 17th of March from 18:00 (GMT), and event end on Monday, 20th of March at 15:00 (GMT) to qualify for the extra saving.

d. General Terms

Hochanda Global Limited, trading as Create and Craft reserve the right to cancel, remove, or end this or any other promotion at any point and without prior notice – Hochanda Global Limited will not be liable for any financial loss or value that directly relate to the removal of this promotion.
